These Terms and Conditions (“Terms”) govern your access to and use of the website digiinvoicing and the online invoicing software and related services (collectively, the “Services”) provided by Digi Invoicing (“DigiInvoicing,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
– Account means the account you create to access the Services.
– User, you, your means the individual or entity using the Services.
– Content means any data, invoices, text, files, or other materials you upload, create, or store using the Services.
– Subscription means a paid plan that provides access to certain features of the Services.
To use certain features, you must register for an Account. You agree to:
– Provide accurate, current, and complete information;
– Keep your login credentials confidential;
– Be responsible for all activity that occurs under your Account;
– Notify us promptly of any unauthorized use.
We reserve the right to suspend or terminate Accounts that contain false information or that are used in violation of these Terms.
You agree not to:
– Use the Services for any unlawful, fraudulent, or harmful purpose;
– Send spam or unsolicited communications through the Services;
– Upload malicious code or attempt to disrupt or compromise the Services;
– Reverse engineer, decompile, or attempt to extract the source code of the Services;
– Access the Services through automated means without our permission;
– Infringe the intellectual property or privacy rights of others;
– Use the Services to store or transmit content that is unlawful, defamatory, or objectionable.
We may investigate and take appropriate action, including suspension or termination, against any suspected violation.
– Certain features require a paid Subscription. Applicable fees, billing cycles, and features are described on our pricing page.
– Fees are billed in advance on a recurring basis (e.g., monthly or annually) and are non-refundable except as required by law or as expressly stated by us.
– You authorize us and our payment processors to charge your chosen payment method for all applicable fees.
– We may change our fees upon reasonable prior notice. Continued use after a price change constitutes acceptance of the new fees.
– Subscriptions renew automatically unless cancelled before the end of the current billing period. You may cancel at any time through your Account settings.
– You retain all ownership rights to the Content you create or upload.
– You grant us a limited license to host, store, process, and display your Content solely as necessary to provide the Services.
– You are solely responsible for the accuracy, quality, and legality of your Content and for having the rights necessary to use it.
– We handle personal data in accordance with our [Privacy Policy].
The Services, including all software, design, text, graphics, logos, and trademarks, are owned by or licensed to Digi Invoicing and are protected by intellectual property laws. Except for the limited license granted to you, these Terms do not transfer any ownership rights to you.
The Services are provided on an as is and as available basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. The Services do not constitute financial, tax, accounting, or legal advice.
To the fullest extent permitted by law, Digi Invoicing and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising out of or relating to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Digi Invoicing and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your Content, or your violation of these Terms or applicable law.
You may stop using the Services and close your Account at any time. We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms or if we discontinue the Services. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will survive.
These Terms are governed by the laws of Sindh, Karachi, Pakistan, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Karachi, Pakistan, unless otherwise required by applicable law.
We may modify these Terms from time to time. When we do, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
